End User License Agreement
Effective date: March 14, 2026
This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you") and Macrify LLC ("Macrify," "we," "us") governing your use of the ScheduleHound, Macriphone, and any other Macrify applications and related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
1. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to the terms of this Agreement and your subscription tier.
2. Account and Access
You must sign in with a valid Google or Microsoft account. Access may be restricted to an email allowlist maintained by Macrify or your organization. You are responsible for all activity that occurs under your account and for keeping your authentication credentials secure.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload documents you do not have the right to process.
- Attempt to reverse-engineer, decompile, or extract the source code of the Service.
- Circumvent usage limits, authentication controls, or security measures.
- Resell, sublicense, or provide access to the Service to unauthorized third parties.
- Use automated scripts or bots to interact with the Service beyond its intended APIs.
4. AI-Generated Output
The Service uses artificial intelligence to extract deadlines, generate social media content, render branded images, and perform other automated tasks. AI-generated output is provided for informational purposes only and does not constitute legal advice, marketing advice, or any other professional advice.
While we strive for accuracy, AI output is not perfect. You are solely responsible for reviewing and verifying all AI-generated content — including extracted deadlines, generated text, and rendered images — before relying on or publishing them.
Macrify is not liable for any missed deadlines, incorrect dates, inaccurate content, or other errors in AI-generated output. The Service is a productivity tool, not a substitute for professional judgment.
5. User-Generated and Uploaded Content (Macriphone)
The following provisions apply specifically to the Macriphone content generation and publishing features of the Service:
5.1 Content Ownership and Responsibility
You retain ownership of all content you create, upload, or publish through Macriphone, including text prompts, uploaded images, brand voice configurations, and custom templates. You are solely responsible for all content generated through or published by the Service on your behalf, including AI-generated captions, rendered images, and social media posts.
5.2 Representations Regarding Uploaded Content
By uploading images or other media to the Service, you represent and warrant that:
- You own or have obtained all necessary rights, licenses, and permissions to use the uploaded content.
- The uploaded content does not infringe upon the copyright, trademark, patent, trade secret, or other intellectual property rights of any third party.
- You have obtained any required consent from individuals depicted in images, including model releases where applicable.
- The uploaded content does not violate any applicable law, regulation, or third-party right, including privacy and publicity rights.
5.3 Responsibility for Published Content
When you publish content through the Service to social media platforms (including LinkedIn, Twitter/X, Instagram, Facebook, and Threads), you are solely responsible for ensuring that the published content complies with all applicable laws, regulations, and the terms of service of each platform. This includes but is not limited to:
- Advertising and disclosure requirements (including FTC guidelines for endorsements and sponsored content).
- Industry-specific regulations applicable to your profession or business.
- Platform-specific content policies and community guidelines.
- Applicable state bar rules regarding attorney advertising, if you are a legal professional.
Macrify does not review, approve, or endorse any content before it is published. You should review all AI-generated content in the approval queue before publishing.
5.4 License to Macrify
By uploading content to the Service, you grant Macrify a limited, non-exclusive, royalty-free license to use, store, process, and display that content solely for the purpose of providing and improving the Service. This includes sending images and text to third-party AI providers for processing and uploading rendered images to cloud storage for delivery to social media platforms. We do not use your content for advertising or sell it to third parties.
5.5 Indemnification
You agree to indemnify and hold harmless Macrify and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your uploaded content, published content, or your breach of the representations and warranties in this Section 5.
6. Data Handling
When you upload a document or image, it is sent to a third-party AI provider (Google Generative AI) for processing. For ScheduleHound, we do not permanently store the content of your uploaded documents. Documents are processed in memory and are not retained after extraction is complete.
For Macriphone, uploaded images are stored in cloud storage (Supabase) so they can be used in social media posts and template rendering. Generated images and post content are retained for as long as your account is active. See our Privacy Policy for full details on what data we collect and how it is handled.
We store usage metadata, including file identifiers, token counts, and timestamps, to enforce usage limits and provide your account dashboard.
Macrify does not use your uploaded content to train, fine-tune, or improve AI models. We exclusively use AI providers whose API terms prohibit using submitted data for model training. As of this writing, that means Google's Generative AI API, whose terms of service confirm that API inputs are not used to train their models.
7. Data Retention and Deletion
Usage logs (file names, token counts, timestamps) are retained for as long as your account is active. If you request account deletion, we will delete your account data, including usage logs, within 30 days. Aggregated, anonymized statistics may be retained indefinitely.
8. Subscription Tiers and Billing
The Service offers Free and Paid subscription tiers with different monthly token limits. Usage is tracked per calendar month. If you exceed your tier's token limit, extractions will be paused until the next billing period.
Paid subscriptions are billed through Stripe. By subscribing, you agree to Stripe's terms of service. You may manage your subscription or cancel at any time through the Account page.
9. Intellectual Property
The Service, including its design, code, and documentation, is owned by Macrify LLC and protected by copyright and other intellectual property laws. This Agreement does not grant you any rights to Macrify's intellectual property beyond the limited license in Section 1.
You retain all rights to the documents you upload and the information extracted from them. For content created through Macriphone, see Section 5 for additional terms.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MACRIFY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MACRIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR MISSED DEADLINES, ARISING FROM YOUR USE OF THE SERVICE. MACRIFY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may stop using the Service at any time. Upon termination, your license to use the Service ends immediately.
13. Changes to This Agreement
We may update this Agreement from time to time. If we make material changes, we will notify you by updating the effective date at the top of this page. Continued use of the Service after changes constitutes acceptance of the revised Agreement.
14. Governing Law
This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the State of Florida.
